Mr. Arthur C. Martinez is Executive Chairman of the Board of Abercrombie & Fitch Co. He retired in 2000 as Chairman of the Board and Chief Executive Officer of Sears, Roebuck and Co. (“Sears”), positions he had held since 1995. From 1992 to 1995, he served as Chairman and Chief Executive Officer of the former Sears Merchandise Group, the retail arm of Sears. Prior to his tenure at Sears, Mr. Martinez served in various capacities at Saks Fifth Avenue, Inc. (“Saks”), an apparel and related products retailer, and Saks’ parent company through 1990, BATUS, Inc. He served as Vice Chairman and a member of the Board of Directors of Saks from 1990 to 1992. From 1987 to 1990, Mr. Martinez was Group Chief Executive for the retail division of BATUS, Inc. (responsible for Saks, Marshall Field’s and other chains) and served as a member of the BATUS, Inc. Board of Directors and Executive Committee. He served as Executive Vice President for Administration of Saks from 1984 to 1987 and as Senior Vice President and Chief Financial Officer of Saks from 1980 to 1984. Mr. Martinez also served as Chairman of the Board of the Federal Reserve Bank of Chicago from 2000 to 2002 and as a Director from 1996 to 2002. Mr. Martinez also serves as Chairman of the Board of HSN, Inc., an interactive multi-channel retailer, a position he has held since 2008; and as Lead Director of International Flavors & Fragrances Inc., a creator and manufacturer of flavor and fragrance products, a position he has held since 2004 (having also served as a director since 2000). Mr. Martinez has also served as a director of IAC/InterActiveCorp, a multi-brand media and internet company, since 2005; American International Group, Inc., an international insurance and financial services company, since 2009; and Kate Spade & Company (formerly known as Fifth & Pacific Companies, Inc.), a retail-based premium brands company, since 2001.
