Mr. Jacques Garaialde is Chairman of the Board of Directors and Chairman of the Strategy Committee of PagesJaunes Groupe SA. He has been an Associate of Kohlberg Kravis Roberts and Co since 2003. Before moving to Kohlberg Kravis Robert and Co, Mr. Garaialde was an Associate at Carlyle in charge of the European Venture Partner Fund. Between 1982 and 2000 he worked at the Boston Consulting Group where he was Senior Vice President in charge of Belgium, a position he held between 1992 and 1995, then of France and Belgium (1995-2000). Between 1979 and 1981 he held different positions within Esso France. Mr. Garaialde is currently Director of Nexans, Legrand and Tarkett and is also Chairman of the Board and Managing Director of Mediannuaire Holding and Member of the Management Committee of Societe d'Investissement Familiale. He has an MBA from INSEAD (Fontainebleau) and is a former student of l’Ecole Polytechnique.

Mr. Jean-Pierre Remy has been appointed Managing Director of PageJaunes Groupe SA, effective as of May 25, 2009. He graduated from Ecole Centrale Paris and has a Doctorate degree of HEC. After an experience in strategy consulting as a Partner of Bain & Company, he founded Egencia in 2000. In April 2004, he sold Egencia to Expedia, and was appointed Responsable of the business travel activities of Expedia. He was also Member of the Executive Committee of Expedia Inc.

Ms. Ghislaine Mattlinger is the Deputy Managing Director in charge of Finance, Performance and Information Systems of PagesJaunes Groupe SA as of March 1, 2009. Prior to that, she had been Director of Finance of the Company since February 2006. She has also been the Director of Finance of PagesJaunes SA since February 2007. She began her career in 1989 at Arthur Andersen, where she was in charge of different projects within the audit committee for the Banking and Financial Markets division. In 1996, she became Financial Director of VIEL and Cie, which she left in 2004, in order to participate in the creation of Aurige Finance, a merger and acquisition consultancy firm. Ms. Mattlinger has a degree from Hautes Etudes Commerciales (HEC).

Mr. Pascal Garcia is the Deputy Managing Director in charge of the Advertising Branch of PagesJaunes Groupe SA as of March 1, 2009. He previously worked as a Managing Director within subsidiaries of the company, first at Telelistas from 1997 to 2001 and then at Wanadoo Edition in 2002 before serving as Managing Director of QDQ Media in Spain from 2003 to 2008. He started his career in 1982 in the oil industry, first within the financial management of Comex and then Coflexip in Brazil, for which he also held managerial roles in France and internationally, before serving as Managing Director of Coflexip Stena Offshore Brazil. Mr. Garcia is a graduate of Hautes Etudes Commerciales and holds an MBA from Fundacao Getulio Vargas and an MBA from ESADE in Barcelona.

Mr. Claude Marchand is the Deputy Managing Director in charge of the Printed Directories Branch of PagesJaunes Groupe SA as of March 1, 2009. Prior to that, he had been Director of the Printed Directories branch of the Company since July 2000. He joined PagesJaunes in March 1997 as Deputy Managing Director in charge of technical affairs and quality, and Member of the Management Board. Before that, he worked in the communications and media industry. He was notably an Engineer at ORTF and then Regional Director of FR3 from 1970 to 1990, Managing Director of cable television operating companies (Compagnie Generale des Eaux in Toulouse and then France Telecom Cable in Lille) from 1990 to 1994, and then Deputy Director of the Var Matin newspaper and Industrial Director of La Provence (Lagardere Group) from 1994 to 1997. He is a graduate of Ecole Polytechnique and Ecole Nationale Superieure des Telecommunications.

Mr. Julien Billot is the Deputy Managing Director in charge of the Internet division of PagesJaunes Groupe SA as of September 1, 2009. A graduate of Ecole Polytechnique and Ecole Nationale Superieure de Telecommunications, he also holds a Postgraduate degree in Industrial Economics. He started his career in 1993 at France Telecom, where he successively served as Director of Strategy and Director of Finance of a subsidiary of the company, Director of Multimedia Marketing of the mobile division and Director of the consumers and professionals markets of Orange. At the beginning of 2006, he was appointed as Director of Products and Services and Head of the technology center of France Telecom for the consumers division. At the end of 2006, he became the Managing Director of the Digital and New Business division of Lagardere Active.

Mr. Michel Datchary serves as Member of the Board of PagesJaunes Groupe SA and has been Managing Director of the Company until May 25, 2009. Prior to that, he had been Chairman of the Management Board of PagesJaunes since 1996. Mr. Datchary began his career at Havas in 1977 before moving to Groupe ODA. He has held the position of Responsible for Products in 1979, Deputy Director of Marketing in 1981, Managing Director of a branch in 1985, and Deputy Managing Director and Member of the Management Board of ODA in 1992. Mr. Datchary was awarded a degree from the l’Institut de promotion commerciale de la Chambre de commerce de Pau in 1977. He holds several other mandates, including Director of PagesJaunes Marketing Services, Mediannuaire Holding and Mappy, and Chairman of the Board of QDQ Media (Spain).

Mrs. Abeille Deniau is an Employee Representative on the Board of Directors of PagesJaunes Groupe SA as of July 20, 2006. She moved to PagesJaunes SA in 1986 and currently holds the position of Head of Editorial within the communication division of the Company.

Mr. Jean-Christophe Germani is a Member of the Board of Directors of PagesJaunes Groupe SA. He is Managing Director of the Merchant Banking Division of Goldman Sachs and has a degree from Hautes Ecoles Commerciales (HEC). Mr. Germani is also Director of Mediannuaire Holding.

Mr. Hugues Lepic is a Member of the Board of Directors and a Member of the Remuneration and Nominating Committee and the Strategy Committee of PagesJaunes Groupe SA. He is a Partner and Managing Director of The Goldman Sachs Group Inc., and is responsible for Private Equity in Europe, within the Principal Investment area division. He is also a Member of the Executive Commitee of Goldman Sachs in Europe and a Member of the Investment Committee of Goldman Sachs. Mr. Lepic began his career in 1990 within the Mergers and Acquisitions division of Goldman Sachs in New York and then in London. He moved to the Private Equity division in London in 1996 before being named Managing Director in 1998 and Partner and Managing Director in 2000. He is also a Member of the Board of Directors of Prysmian SpA and Mediannuaire Holding. He is a former student of Ecole Polytechnique and has an MBA from Wharton School of the University of Pennsylvania.

Mr. Nicolas Gheysens was appointed Member of the Board of Directors of PagesJaunes Groupe SA on July 26, 2007 and he is also a Member of the Company’s Audit Committee and Nominating and Remuneration Committee. He joined Kohlberg Kravis Roberts and Co in 2004. Prior to that, he worked for the investment fund Sagard and at Goldman Sachs International. He is a graduate of Institut d’Etudes Politiques in Strasbourg and ESSEC. He holds several other mandates, including Managing Director of Sedley Partcipations France SAS, Chairman of NorthgateArinso France Holdings and Director of Mediannuaire Holding and U.N. Ro Ro Isletmeleri A.S.

Mr. Josef Ming is a Representative of Mediannuaire on the Board of Directors of Mediannuaire. He joined KKR Capstone in 2008 as Chief Executive Officer. He is a Member of the Investment Committee of KKR. He previously worked for 12 years as an Associate for Bain & Company for which he was Managing Director for Switzerland. Before that, Mr. Ming was the Chief Executive Officer of Bally of Switzerland for the American markets. He holds an MBA from Pepperdine University and is a graduate of the University of Lucerne.

Mr. Francois De Carbonnel has been an Independent Member of the Board of Directors of PagesJaunes Groupe SA since May 27, 2004 and is also the Chairman of the Company's Remuneration and Nominating Committee. He was Senior Advisor for Citigroup’s Global Corporate and Investment Bank until the end of 2006. He joined Citigroup in 1999 as Managing Director of the Global Corporate and Investment Bank. He worked at Boston Consulting Group from 1971 to 1981, and was Chairman of Strategic Planning Associates in Washington DC from 1981 to 1990. He then joined General Electric as Chairman of GE Capital-Europe and Vice-Chairman of General Electric. In 1993, he became Vice-Chairman of Booz-Allen et Hamilton in Paris, and then in 1994 became Chairman and Managing Director (CEO) of Midial S.A., where he remained until 1998. He was also Chairman of the Supervisory Board of GE Capital-SNCE between 1996 and 1998. Mr. De Carbonnel is a graduate of the Ecole Centrale de Lyon, the Lyon Faculty of Economic Sciences and the Business School of Carnegie-Mellon University in Pittsburgh, United States. He holds several other mandates, including Chairman of the Board of Thomson and Director of Quilvest SA.

Prof. Elie Cohen has served as an Independent Member of the Board of Directors of PagesJaunes Groupe SA since May 27, 2004 and he is also Member of the Company's Audit Committee and Strategy Committee. A graduate of the Institut d’Etudes Politiques de Paris, he holds a Doctorate in Management and a Doctorate in Political Science. He began his career as a student researcher at the Ecole des Mines, before becoming Head of Research at the Centre de Sociologie de l’Innovation at the Ecole des Mines. He then joined CNRS as Director of Research of the public policy analysis group, and then of then of the French political life research centre. He became a Professor and taught at the Institut d’Etudes Politiques de Paris, the Ecole Normale Superieure Ulm, the Ecole Nationale d’Administration and at Harvard in the Engineering College. As an economist, he has worked on several Parliamentary and Executive Committees. He was a Member of the Board of Directors of France Telecom from 1991 to 1995, and Member of the Board of Directors of Orange from 2003 to 2007. He has also been a Member of the Scientific Board of the Sustainable Development and International Relations Institute. He is currently Director of Research of CNRS and Professor at Institut d’Etudes Politiques, and holds other mandates, including Member of the Supervisory Board of Groupe Steria and Director of EDF Energies Nouvelles and EDF ENR.

Mr. Remy Sautter has been an Independent Member of the Board of Directors of PagesJaunes Groupe SA since May 27, 2004 and is also the Chairman of the Company's Audit Committee. He began his career at the Caisse des depots et consignations (1971-1981) before becoming Technical Adviser at the Financial and Budgetary Affairs office of the Ministry of Defense (1981-1983). He then became Financial Director of Havas from 1983 to 1985 and was Deputy Chairman and Managing Director of RTL until 1996. He was Managing Director of CLT-UFA until 2000, when he became Chairman and Managing Director (CEO) of RTL. In December 2002, he became Chairman of the Supervisory Board of RTL. Mr. Sautter is a Law graduate, and is also a graduate of the Institut d’Etudes Politiques in Paris and the Ecole Nationale d’Administration.
