DIRECTOR/PDMR SHAREHOLDINGS
Reckitt Benckiser Group plc (the "Company" or "RB") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 pence each in the share capital of the Company ("Shares").
2015 Long Term Incentive Plan ("LTIP")
1. Vesting and Release of Performance Share Awards
Following the assessment of the Compound Average Annual Growth in EPS performance condition over the three-year period ended 31 December 2018 and confirmation of partial vesting of awards at the Company's Annual General Meeting held on 9 May 2019, performance share awards made under the LTIP on 2 December 2015, vested at 65% and the following Shares were released:

In addition, Aditya Sehgal had a performance share award made to him under the LTIP on 1 May 2017 which was subject to annual vesting in three tranches on the date of the AGM based on his continued employment. 3,333 Shares vested under this award and were released to him. Aditya Sehgal made arrangements to settle his liability on release of both awards directly with RB and retained the gross number of Shares released on vesting.

2. Grant of Performance Share Awards and Share Options

The number of Shares and options shown is the maximum available if the stretching performance conditions for the three-year performance period ending on 31 December 2021 are satisfied in full. Further details of the performance targets are set out in the Company's 2018 Annual Report. The awards granted are subject to a two-year holding period following the end of the three-year performance period. Options will be exercisable at £60.83 per share.
There will be no retesting of these awards. No consideration was paid for the grant of these awards.
