Reduction of Capital

The Company is pleased to announce that, as contemplated in the prospectus for the initial public offering of the Company published on 30 June 2021 and pursuant to a resolution of the shareholders of the Company passed on 29 June 2021, distributable reserves have been created following the completion of a reduction of its share capital, whereby the entire amount standing to the credit of the Company's share premium account was cancelled and the nominal value of each ordinary share in issue in the capital of the Company was reduced from £1.00 to £0.01 (the "Reduction of Capital").

The Reduction of Capital was formally approved by the High Court of Justice on 21 September 2021. Following registration of the order of the High Court of Justice with Companies House, the Reduction of Capital became effective on 23 September 2021.

Following the Reduction of Capital, as at 23 September 2021, the issued share capital of the Company consists of 500,000,000 ordinary shares of £0.01 each. The distributable reserves created by the Reduction of Capital amount to £537,077,698.70.
