2021 Annual General Meeting: COVID-19 Update

 

 

On 11 November 2021 Softcat plc ("Softcat" or "the Company") issued a notice convening an Annual General Meeting of the Company ("AGM") to be held at 11.30am (UK time) on 15 December 2021 (the "Notice of AGM").

 

Since the Company issued the Notice of AGM, the UK Government has announced (on 8 December 2021) additional measures in response to the risks of the Omicron variant of COVID-19 (the "Plan B Announcement"). In the light of the Plan B Announcement, the Company has reviewed the arrangements for the AGM with a view to protecting the health and safety of our shareholders, employees and other potential attendees.

 

The AGM will still be held as advertised in the Notice of AGM and shareholders have the right to attend, speak and vote at the meeting if they so wish. However, in view of the Plan B Announcement, in the interests of shareholders' own safety and the safety of others, Softcat strongly encourages shareholders to consider appointing the Chair as their proxy rather than attending the AGM in person. Instructions for submitting proxy votes are contained in the Notice of AGM.

 

Shareholders who wished to ask questions at the AGM will be able to raise their questions by email. As explained in the Notice of AGM, the Company welcomes questions from shareholders on the business of the AGM, or any other matters relating to the Company. Softcat will extend the period for shareholders to ask AGM-related questions to 5pm (UK time) on 16 December 2021. Responses to any questions will be given, and a summary of questions asked, will be included in the Investor section of the Company's website after the AGM.   

 

In the light of the Plan B Announcement, the AGM will focus solely on the formal business set out in the Notice of AGM and only the minimum number of Directors necessary to constitute a quorum will attend. Regrettably, we will not make any presentations at the meeting, nor will we provide refreshments either before or after the AGM.

 

If circumstances change, including if regulations are introduced to prohibit or further restrict public gatherings or Government guidance changes, Softcat reserves the right to take further steps in respect of attendance at the AGM. To the extent Softcat does make further changes to the arrangements for the AGM, we will provide an update via a Regulatory Information Service announcement and our website as soon as practicable.

 

If shareholders nonetheless wish to attend the AGM in person, they are strongly advised to wear a face covering at the meeting (unless they are exempt) and to take other appropriate precautions to protect themselves and other attendees, including taking full account of the new rules outlined in the Plan B Announcement.
