Appointment of Non-Executive Director and Board Committee Changes

Alan Ralph joins Origin as an independent Director

Dublin, London, 29 September 2022: Origin Enterprises plc ('Origin' or 'the Group'), the international Agronomy-Services Group providing specialist advice, inputs and digital solutions to promote sustainable land use, is pleased to announce the appointment of Mr Alan Ralph to the Board as an independent Non-Executive Director, with effect from 3 October 2022. Origin also announces Senior Independent Director and Board Committee changes, which will take effect following the conclusion of the Company's Annual General Meeting ('AGM') on 22 November 2022.

New independent Non-Executive Director

Alan Ralph (53) is a highly experienced business professional and financial leader having spent 20 years with UDG Healthcare plc. He spent 10 years leading UDG's largest business unit before supporting the company's strategic transformation as Chief Financial Officer for five years. Alan is a Fellow of Chartered Accountants Ireland and previously worked in Banta Corporation and PwC. 

Alan was nominated to the Board following a thorough recruitment process led by the Nomination and Corporate Governance Committee. He also currently serves as a Non-Executive Director of DCC plc and is Chair of their Audit Committee.

As of today, Alan holds interests in 10,000 Ordinary Shares of Origin, representing approximately 0.009% of the Company's issued share capital, excluding treasury shares. 

Senior Independent Director and Board Committee Changes

In June 2022, the Group announced that Gary Britton was appointed Chair Designate to succeed Rose Hynes at the 2022 AGM. At that time, he will also assume the role of Chair of the Nomination and Corporate Governance Committee and join the Remuneration Committee as a member. Alan Ralph will become Chair of the Audit and Risk Committee and a member of the Nomination and Corporate Governance Committee.

Helen Kirkpatrick has been appointed as Origin's Senior Independent Director to replace Gary Britton at the conclusion of the AGM, when she will also step down as a member of the ESG Committee. The ESG Committee membership otherwise remains consistent, with Lesley Williams in the role of Chair of the Committee since 1 August 2022.
