SCHEME OF ARRANGEMENT BECOMES EFFECTIVE

 

Introduction

On 21 September 2022, the boards of Schneider Electric and Bidco and the AVEVA Independent Committee announced that they had reached agreement on the terms of a recommended cash acquisition by which the entire issued and to be issued share capital of AVEVA (excluding AVEVA Shares held by Samos, an indirect wholly-owned subsidiary of Schneider Electric) would be acquired by Bidco (the "Acquisition"), such Acquisition to be effected by means of a Court approved scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme").

The scheme document in respect of the Acquisition (the "Scheme Document") was published and made available to AVEVA Shareholders and, for information only, to persons with information rights and participants in the AVEVA Share Plans, on 18 October 2022. Capitalised terms used but not defined in this announcement have the same meanings as given to them in the Scheme Document.

On 11 November 2022, the boards of Schneider Electric and Bidco and the AVEVA Independent Committee announced that they had reached agreement on the terms of an increased and final recommended cash offer in relation to the Acquisition (the "Increased Offer").

On 16 January 2023, AVEVA announced that the Court had sanctioned the Scheme to effect the Acquisition.

Scheme Effective

AVEVA is pleased to announce that the Court Order has been delivered to the Registrar of Companies today and, accordingly, the Scheme has now become effective in accordance with its terms.

As a result of the Scheme having become effective, share certificates in respect of Scheme Shares have ceased to be valid documents of title and entitlements to Scheme Shares held in uncertificated form in CREST have been cancelled.

Settlement of Consideration

Under the terms of the Increased Offer, Scheme Shareholders on the register of members of AVEVA at the Scheme Record Time (6.00 p.m. on 17 January 2023) will be entitled to receive 3,225 pence for each Scheme Share held at the Scheme Record Time. Settlement of the consideration to which each Scheme Shareholder is entitled will be effected: (i) for Scheme Shareholders holding Scheme Shares in certificated form, by way of  electronic BACS transfer (for Scheme Shareholders with standing electronic payment mandates) or alternatively by the despatch of a cheque (in the absence of such a standing electronic payment mandate); and (ii) for Scheme Shareholders holding Scheme Shares in uncertificated form, through CREST, in each case as soon as practicable and in any event not later than 1 February 2023. Settlement of the dividend to which each AVEVA Shareholder who was on the register on 18 November 2022 was entitled has separately been effected.

Delisting of AVEVA Shares

Dealings in AVEVA Shares were suspended with effect from 7.30 a.m. today, 18 January 2023.  Applications have been made to the Financial Conduct Authority and the London Stock Exchange in relation to the cancellation of the listing of AVEVA Shares on the premium listing segment of the Official List and of the admission to trading of AVEVA Shares on the main market of the London Stock Exchange, which are each expected to take place at 8.00 a.m. tomorrow, 19 January 2023.

Director resignations

As the Scheme has now become effective, AVEVA duly announces that, as of today's date, Philip Aiken, Christopher Humphrey, Paula Dowdy, Ron Mobed and Anne Stevens have each tendered their resignations and have stepped down from the board of AVEVA. Peter Herweck, James Kidd, Olivier Blum and Hilary Maxson remain on the board of AVEVA.

The Acquisition relates to the shares of an English company and is being made by means of a scheme of arrangement provided for under English company law. If, in the future, Bidco exercises the right to implement the Acquisition by way of an Offer and determines to extend the offer into the US, the Acquisition will be made in compliance with applicable US laws and regulations.

The receipt of cash pursuant to the Acquisition by a US holder of AVEVA Shares as consideration for the transfer of its AVEVA Shares pursuant to the Scheme will likely be a taxable transaction for United States federal income tax purposes and under applicable United States state and local, as well as foreign and other, tax laws. AVEVA Shareholders are urged to consult with legal, tax and financial advisers in connection with making a decision regarding the Acquisition.
