Cohort, the AIM listed independent technology group, announces that at its Annual General Meeting held earlier today all the resolutions contained within the Notice of Meeting dated 21 August 2024 were duly passed by shareholders.

Jeff Perrin retired from the Cohort Board following today's AGM after 9 years during which he Chaired the Audit Committee, was a member of the Remuneration Committee and acted as Senior Independent Director. He brought diligence and wisdom to these roles and made a valuable contribution to the development of Cohort. The Board is most grateful to him. Peter Lynas has succeeded Jeff as Chairman of the Audit Committee and Senior Independent Director.

1. Any proxy appointments which gave discretion to the Chairman have been included in the "for" total.
2. The total number of shares in issue is 41,801,761.
3. A "vote withheld" is not a vote in law and is not counted in the calculation of the proportion of the votes "for" and "against" a resolution.
