Annual Report - Correction

The Toronto-Dominion Bank (the "Bank") announces that an incomplete version of the 2025 Annual Report was filed on 4 December 2025 with the National Storage Mechanism ("NSM") under the description "2025 Annual Report". Separate filings of the Bank's Management's Discussion and Analysis for the year ended 31 October 2025 (the "2025 Annual MD&A") and the Bank's audited consolidated financial statements for the years ended 31 October 2025 and 2024 (the "2025 Annual Financial Statements") (which are included in the 2025 Annual Report) were simultaneously made with the NSM and were correct and complete. Other than non-substantive formatting, there is no difference between the separately filed 2025 Annual MD&A and 2025 Annual Financial Statements, and those sections in the 2025 Annual Report. The correction is only that those sections were inadvertently omitted from the document described as "2025 Annual Report" filed on 4 December 2025.

A corrected replacement version of the 2025 Annual Report has been submitted to the NSM under the title "Annual Report 2025 - Corrected" and will shortly be available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism. Investors should rely on the corrected, replaced version and the prior version should be disregarded.
