ABO Energy GmbH & Co. KGaA (“company”) is considering and reviewing plans to (additionally) become an operator of renewable energy parks and battery storage facilities (independent power producer – “IPP”). This is intended to strengthen the company's strategic position and help to further advance the energy transition. The planned expansion of business activities would be capital-intensive and is unlikely to be feasible with the financial resources currently available. 

The company is therefore in contact with several investors in order to create the conditions for the planned business expansion. These initial talks are at various stages. No details of any possibly resulting transaction have yet been fixed. 

A capital increase from authorised capital could be part of the transaction. The Annual General Meeting in May 2025 created authorised capital of up to 20 per cent of the share capital, including the option of a simplified exclusion of subscription rights. In addition, it would be possible to reallocate shares from the holdings of the founding families who wish to open up this strategic opportunity for the company. The transaction could therefore result in an investor acquiring a majority of the limited partnership shares in the company, which would trigger the provision in the articles of association allowing a (reverse) change of legal form to a public limited company (“Aktiengesellschaft”).
