Ciena Corporation Announces Pricing of Upsized Convertible Senior Notes

These transactions cover, subject to anti-dilution adjustments substantially similar to those applicable to the Notes, the same number of shares of the Company’s common stock that will initially underlie the Notes, and are expected generally to reduce any dilutive effect on the Company’s common stock of the Notes and/or offset any cash payments the Company is required to make in excess of the principal amount of converted Notes, as the case may be. This activity could increase (or reduce the size of any decrease in) the market price of the Company’s common stock and/or the Notes at that time.
