Noble Corporation plc has announced the final results of the recommended voluntary public share exchange offer and has requested Maersk Drilling to seek a delisting of the shares from Nasdaq Copenhagen

Reference is made to company announcement no. 17/2022 regarding the preliminary results of the recommended voluntary public share exchange offer (the "Exchange Offer") by Noble Corporation plc ("Topco") to the shareholders of The Drilling Company of 1972 A/S ("Maersk Drilling"). Reference is also made to the Topco announcement attached hereto.

Result of the Exchange Offer
Pursuant to the terms of the Offer Document, the Exchange Offer expired on 8 September 2022 at 23:59 (CEST). In accordance with section 21(3) of the Danish Executive Order no. 636 of 15 May 2020 on takeover bids (the "Danish Takeover Order"), Topco has announced the final result of the Exchange Offer. The final result shows that Topco has received acceptances representing 37,266,530 shares of Maersk Drilling (“Maersk Drilling Shares”) corresponding to approximately 89.73% of the entire share capital and voting rights in Maersk Drilling. Excluding treasury shares held by Maersk Drilling, Topco has received acceptances representing approximately 90.03% of the share capital and voting rights in Maersk Drilling.

Settlement of the Exchange Offer
The Exchange Offer is expected to be settled on 3 October 2022 by the delivery of newly and validly issued, fully paid and non-assessable A ordinary shares of Topco, delivered in the form of share entitlements, to holders of Acceptance Shares and cash consideration to holders of Cash Acceptance Shares. 

Shareholders of Maersk Drilling, who are subject to Danish tax liability, can elect to apply for a tax-exempt share-for-share exchange in connection with their acceptance of the Exchange Offer by submitting an electronic form that will be made available by Topco on its website after the settlement of the Exchange Offer. As a result of such election, such Maersk Drilling shareholder should not be deemed to have made a taxable disposal of the Maersk Drilling shares in connection with the Exchange Offer. Compulsory purchase and delisting
Subject to settlement of the Exchange Offer in accordance with the terms and conditions contained therein, Topco has now informed Maersk Drilling of its intention, as soon practicable following settlement of the Exchange Offer, to exercise its rights under sections 70-72 of the Danish Companies Act to conduct a compulsory purchase of all those Maersk Drilling Shares held by remaining minority shareholders.

Separate press releases and announcements in the IT system of the Danish Business Authority will be made when the compulsory purchase has been resolved in accordance with the relevant provisions set out in sections 70-72 of the Danish Companies Act.

In addition, Topco has requested Maersk Drilling to submit a request to Nasdaq Copenhagen A/S (“Nasdaq Copenhagen”) to delist the Maersk Drilling Shares from Nasdaq Copenhagen. Provided that Nasdaq Copenhagen accepts such request, the delisting will expectedly be effective from 4 October 2022 and the last day of trading and official listing for Maersk Drilling Shares on Nasdaq Copenhagen is expected to be on 3 October 2022. As a result, Maersk Drilling shareholders who have not accepted the Exchange Offer can sell their shares on Nasdaq Copenhagen until such last day of trading on 3 October 2022.

Upon Topco deciding to conduct a compulsory purchase, all remaining Maersk Drilling shareholders, who have not accepted the Exchange Offer and have not sold their Maersk Drilling Shares on Nasdaq Copenhagen prior to the delisting becoming effective, will be requested to transfer their Maersk Drilling Shares to Topco within the four week compulsory purchase period in accordance with section 70-72 of the Danish Companies Act. Such Maersk Drilling shareholders can elect to receive either a full cash alternative, which will amount to USD 46.79 (DKK 340.98) per Maersk Drilling Share, or a number of Topco shares equal to the consideration offered to Maersk Drilling shareholders who have accepted the Exchange Offer. Any remaining Maersk Drilling shareholders who have not voluntarily transferred their Maersk Drilling Shares to Topco prior to the expiry of this four week period, will automatically receive the full cash alternative for the compulsory purchase of their Maersk Drilling Shares following expiry of such four week period.
