Notice of Resignation and Appointment of Principal Agent, Transfer Agent, Calculation Agent and Registrar in respect of Notes issued under the
Bank of America Corporation Euro Medium-Term Note Program (the "Program")
To: All holders of securities, as identified by the ISIN numbers on Schedule 1,
which are listed on the London Stock Exchange and remain outstanding under the Program
(the "Relevant Notes")
Capitalised terms defined in the Relevant Instruments shall have the same meanings where used in this Notice unless otherwise defined herein.
In accordance with the agency agreements and calculation agency agreements listed on Schedule 2, the Issuer listed on Schedule 1 gives notice that it is intended that with effect from or about July 10, 2023 (the "Effective Date"), Bank of America, N.A. (operating through its London Branch) shall resign as Principal Agent and Calculation Agent (if applicable to the Relevant Notes) and Bank of America Europe DAC shall resign as Registrar, as applicable, with respect to the Relevant Instruments. On the Effective Date, it is intended that Citibank, N.A., London Branch shall be appointed as Principal Agent, Transfer Agent and Calculation Agent (if applicable to the Relevant Notes) and Citibank Europe plc shall be appointed as Registrar, as applicable, with respect to the Relevant Instruments.
The specified office of Citibank, N.A., London Branch as Principal Agent, Transfer Agent and Calculation Agent (if applicable to the Relevant Notes) shall be:
