Total voting rights

 

CareTech Holdings PLC (AIM: CTH), a pioneering provider of specialist social care and education services to adults and children in the UK, announces that an application has been made to AIM for an additional block admission of 556,511 ordinary shares of 0.5 pence each ("Ordinary Shares") ("Block Admission").

The Block Admission relates to Ordinary Shares that will be issued from time to time in accordance with the exercise of options under the CareTech employee save-as-you earn share option schemes, the terms of which were announced on 18 March 2016 and 17 October 2017 ("Share Save Schemes").

All Ordinary Shares issued pursuant to the option schemes described above will rank pari passu with the existing Ordinary Shares. It is expected that the Block Admission will become effective on 8 May 2019.

In addition, 67,069 new Ordinary Shares have been issued in respect of satisfaction of the exercise of options under the Share Save Schemes and admission to trading of these shares will be pursuant to the Block Admission ("New Shares").

Total voting rights

Following the issue of the New Shares, the total number of voting rights of the Company is 108,947,309 shares. This figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in CareTech under the FCA's Disclosure and Transparency Rules.

The Company intends to notify on a monthly basis when there are changes to the issued share capital of the Company, and these monthly figures may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company, under the FCA's Disclosure Guidance and Transparency Rules.
