Ref:  Intimation under Regulations 29 and 50(3) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations')

Sub: Approval of the unaudited financial results of Housing Development Finance Corporation Limited ('the Corporation') for the quarter ended June 30, 2019 and closure of trading window

We wish to inform you that a meeting of the Board of Directors of the Corporation is scheduled to be held on Friday, August 2, 2019 at its Corporate Office inter alia to consider and approve the un-audited financial results (standalone) of the Corporation and the un-audited consolidated financial results, for the quarter ended June 30, 2019, subject to limited review by the Statutory Auditors of the Corporation.

We further wish to inform you that at the said meeting, subject to the approval of the shareholders of the Corporation at the 42^nd Annual General Meeting scheduled to be held later on the same day i.e., August 2, 2019, the Board of Directors of the Corporation shall consider the issuance of secured redeemable non-convertible debentures, in various tranches under a Shelf Disclosure Document, aggregating ` 45,000 crore on a private placement basis.

The outcome of board meeting and the said results along with Limited Review Reports issued by the Statutory Auditors will be submitted to you, in accordance with the Listing Regulations.

We also wish to inform that the window for trading in the securities of the Corporation has been closed with effect from Monday, July 1, 2019 and shall continue to remain closed up to Sunday, August 4, 2019 (both days inclusive) for all the employees, designated employees and directors of the Corporation including their immediate relatives, in terms of the HDFC Share Dealing Code and the SEBI (Prohibition of Insider Trading) Regulations, 2015.
