09.07.2019 - Report 23/2019: Decision of the Polish Financial Supervision Authority on expressing consent to qualify series D subordinated bonds of Bank Pekao S.A. as Tier II capital instruments of the Bank

In reference to current report No. 12/2019 dated 9 May 2019 and current report No. 13/2019 dated 22 May 2019, Bank Polska Kasa Opieki S.A. ("Bank") informs that on 8 July 2019 it received the decision of the Polish Financial Supervision Authority on expressing consent to qualify by the Bank 700 (in words: seven hundred) series D subordinated bonds with a nominal value of each bond amounting to PLN 500,000 (in words: five hundred thousand zlotys) and a total nominal value of PLN 350,000,000 (in words: three hundred fifty million zlotys) and maturity dated of 4 June 2031 ("Series D Bonds") as instruments in Tier II capital of the Bank, referred to in Article 63 of Regulation (EU) No. 575/2013 of the European Parliament and of the Council of 26 June 2013 on prudential requirements for credit institutions and investment firms and amending Regulation (EU) No. 648/2012, on terms  specified in the documents submitted by the Bank to the Office of the Polish Financial Supervision Authority, i.e. inter alia in Terms and Conditions of Series D Bonds.

Inclusion of funds raised from the issue of Series D Bonds to the Bank's Tier II capital will result in an increase in the total capital ratio (TCR) for the Bank and the Bank's capital group by approximately 0.3 percentage point.
