Court Nullifies 2010 Allocation of Earnings
On 2 December 2019, Grupo Clarín S.A. (the "Company") informed the Argentine Securities Commission and the Buenos Aires Stock Exchange that on that date it had been served notice of a decision rendered in re "National Government - Ministry of Economy and Public Finance v. Grupo Clarín S.A. on Ordinary Proceeding" (File No. 27183/2010, pending before the First Instance Court on Commercial Matters No. 17, Secretariat No. 34, whereby that court admitted the claim filed by the National Social Security Administration (ANSES) and, consequently, nullified Point 7 of the Agenda of the General, Ordinary Shareholders' Meeting held on 22 April 2010, whereby the shareholders of the Company had resolved that the earnings obtained in 2009, of Ps. 290,146,539, be allocated as follows: (i) Ps. 14,507,327 to the Legal Reserve, and (ii) Ps. 275,639,212, to Retained Earnings. The Company has appealed the abovementioned decision.
