Completion of Tender Offer & Total Voting Rights

Following the completion of the Tender Offer and the cancellation of the Ordinary Shares, the Group's total issued share capital is now 62,033,617 ordinary shares of 5 pence each. The Company holds no shares in treasury. This figure may be used by shareholders as the denominator by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.

In accordance with the timetable set out in the Circular, posting of cheques in respect of the Tender Offer, along with any balance certificates or the crediting of CREST accounts will take place on or around the 5^th December 2019. Following these notifications, a further announcement will be made in relation to Director holdings.

Capitalised terms used in this announcement have the same meanings given to them in the circular published by the Company on 1 November 2019.
