Announcement of Publication of Circular

Further to the announcement made by SIG plc ("SIG", the "Group" or the "Company") on 7 October 2019 in relation to the proposed sale of its Air Handling Division ("AHD") to France Air Management (the "Disposal"), SIG announces that a circular dated 5 December 2019 in respect of the Disposal has been approved by the Financial Conduct Authority (the "FCA") (the "Circular").

Copies of the Circular and a Form of Proxy in relation to the general meeting will be posted to SIG shareholders on 6 December 2019. The Circular contains a notice of general meeting of the Company's shareholders to be convened at 11:00 a.m. on 23 December 2019 at the offices of Allen & Overy LLP at One Bishops Square, London E1 6AD. The procedures and timings for the appointment of a proxy are set out in the notes to the notice of the general meeting at the back of the Circular.

The Circular will be submitted to the National Storage Mechanism, where it will shortly be available for inspection at www.morningstar.co.uk/uk/nsm. In addition, the Circular will be available to view on the Company's website (www.sigplc.com) and will be available for inspection at the offices of the Company at 10 Eastbourne Terrace, London, United Kingdom, W2 6LG and at Allen & Overy LLP at One Bishops Square, London E1 6AD.
