11.12.2019 - Report 34/2019: Decision of the Polish Financial Supervision Authority expressing consent to qualify series D1 subordinated bonds of the Bank Pekao S.A. as Tier II capital instruments of the Bank

In reference to current report No. 29/2019 dated 6th November 2019 and current report No. 30/2019 dated 13th November 2019, Bank Polska Kasa Opieki S.A. ("Bank") informs that on 11th December 2019 it received the decision of the Polish Financial Supervision Authority expressing consent to qualify by the Bank 800 (in words: eight hundred) the D1 series subordinated bonds with nominal value of PLN 500.000 (in words: five hundred thousand zlotys) and a total nominal value of PLN 400,000,000 (in words: four hundred million zlotys) and buyout date 4th June 2031 ("Series D1 Bonds") as instruments in Tier II capital of the Bank as stated in Article 63 of Regulation (EU) No. 575/2013 of the European Parliament and of the Council of 26th June 2013 on prudential requirements for credit institutions and investment firms and amending Regulation (EU) No. 648/2012, on terms specified in the documents submitted by the Bank to the Office of the Polish Financial Supervision Authority, i.e. inter alia in Terms and Conditions of Series D1 Bonds.

Inclusion of funds raised from the issue of the Series D1 Bonds to the Bank's Tier II capital will result in an increase in the total capital ratio (TCR) for the Bank and the Bank's capital group by approximately 0.3 percentage point.
