INVESTMENT RESTRICTIONS AND GUIDELINES

In response to the consequences for investment markets of the current pandemic crisis, the Board of Directors has reviewed the Company's investment restrictions and guidelines. To the existing investment restriction "No more than 50% of the Company's assets may be invested in one region" it has decided to add the following clause as a temporary measure:  "or 10% above the equivalent benchmark weighting, whichever is the greater". This change does not constitute a material change of the Company's Investment Policy but is intended to allow the investment manager temporarily to continue to hold and invest the Company's assets in regions which have performed more robustly in this crisis, and are expected to continue to do so, in accordance with the Company's Investment Objective.  The change will also preserve the relevance of the current benchmark (the MSCI Emerging Markets Index with net dividends reinvested, in sterling terms) as a measure for performance appraisal. This temporary change will be kept under review with the aim of confirming the Company's investment restrictions and guidelines at the AGM to be held in November 2020 when, if considered necessary, any proposed material change of investment policy will be put to the Company's shareholders for approval.
