Keywords Studios PLC ("Keywords Studios" or the "Group" or the "Company")

Proposed Placing of Ordinary Shares to raise approximately £100m

To provide flexibility to execute acquisition strategy and maintain strong balance sheet

Keywords Studios, the international technical and creative services provider to the global video games industry, today announces its intention to conduct a non‑pre‑emptive placing of new ordinary shares (the "Placing Shares") of 1p each in the capital of Keywords Studios (the "Placing"). The total value of proceeds the Company intends to raise via the Placing is approximately £100m.

The Placing will be conducted through an accelerated bookbuilding process (the "Bookbuilding Process") which will be launched immediately following this announcement.  The Placing is subject to the terms and conditions set out in Appendix 1 to this announcement (which forms part of this announcement, such announcement and its Appendix together being this "Announcement").

Reasons for the Placing

Since its IPO in 2013, Keywords Studios has grown to become the market leading technical and creative services provider to the global video games industry across seven service lines, and 59 locations in 21 countries. Acquisitions have been instrumental in this growth and continue to be a key pillar of the growth strategy of the Group, increasing scale and capabilities across multiple geographies. The Group and the management team have a proven track record, delivering and integrating 44 acquisitions to date which have contributed materially to shareholder value. These have helped deliver 54% revenue and 52% adjusted EBITDA (pre-IFRS 16) CAGR over the last 5 financial years. Furthermore, the Group has shown itself to be an excellent owner of these businesses, driving organic growth to an average of over 15% per annum in the last 5 years.

The industry entered the year with strong growth tailwinds, with the underlying growth across the video games market complemented by the launch of a new generation of games consoles expected towards the end of the year and the further development of new streaming platforms. Increased game playing due to COVID-19 related isolation measures is also driving continued demand for content. The structural drivers of growth across the video games market remain, and have been accentuated by COVID-19, including the ongoing trend towards outsourcing with customers now more likely than ever to seek a more resilient provider of scale.

Utilising its deep technical capabilities as a global service provider and early experience from operations in China, the Group has adapted very well to virtual working. It has increased the number of people working from home from the 4,500 announced in March to over 6,000 people, with a further 800 working in facilities (mostly in China).

However, despite the background of the gaming industry's general resilience to COVID-19 and structural growth drivers, the Group is expecting to see some stress in predominantly smaller service providers, which are typically single location and service with fewer clients and less able to weather the disruption. A third party survey of 300 professionals from Game Developers, Game Publishers and Service Providers conducted in late March 2020 revealed that 29% of Service Provides fear a risk of insolvency if the COVID-19 crisis were to continue for six months (https://xdsummit.com/xds-special-report-impact-of-covid-19-on-external-development-q1-2020/). This is likely to result in an increased number of acquisition opportunities for Keywords Studios, with some targets now more inclined to re-engage previously stale exploratory conversations.

The Board believes that these businesses and their customers are now more likely to recognise the attractions of being part of a larger group with a more diverse customer base, broader geographic reach, better operational systems and a stronger financial covenant. As always, the Group looks to partner with highly experienced, technical and creative businesses, to support their growth as part of the Keywords Studios family as they, in turn, help the Group to build further upon its reputation as the leading provider of video games services around the world. Keywords has a strong track record as an owner of such businesses and of building upon acquisitions to deliver strong organic growth.

The Group entered the year with a strong acquisition pipeline and the Board believes there is a unique opportunity for Keywords Studios to leverage its position as the market leader to continue its acquisition strategy of high quality businesses, increasing scale and capability and further accelerating growth. The Board feels that the Placing will enable it to maintain a strong balance sheet without constraining its acquisition strategy when prospects for attractive M&A opportunities have rarely been higher. Any acquisitions will be in line with the Group's existing strategy and deliver shareholder value. Management will look to assess a range of assets across capabilities, geographies, maturities and scales, contributing to Keywords Studios' already strong global reach and capabilities.

In addition, while Keywords Studios' balance sheet and liquidity position remains robust and the primary purpose of the Placing is to provide the Company with flexibility to continue to execute its strategy, an equity raise will further underpin the Company's financial covenant and its position as a preferred partner to its customers through, and beyond, the period of disruption.

Keywords Studios acknowledges that the Placing is being carried out on a non-pre-emptive basis and therefore has consulted with the Company's major institutional shareholders ahead of the release of this Announcement. The Placing structure has been chosen as it minimises cost, time to completion and use of management time at an important and unprecedented time for the Company.

Update on current trading, COVID-19 and outlook

As previously stated, the Group's trading in January and February was in line with expectations, with unaudited Group Revenue up 21% over the same period in 2019 despite some operational disruption from COVID-19 in China during February.

In the second half of March the Group started to see greater disruption across all of the Group's operations, as it started to move to a work from home model and incurred operational constraints in its testing and audio businesses in particular.  We have gradually increased operational capacity in our testing service line throughout April and in to May.  Despite this disruption, revenues in March and April were 7% above the same two months of 2019.  We expect revenue to improve incrementally as our testing businesses increase the numbers working from home and our audio business gains access to studios for voice over recording as the lockdowns ease.

Whilst there has been some operational disruption to the provision of services due to the COVID-19 pandemic, the Group has seen increased demand for its services, as clients look for support during this challenging time and the underlying drivers of growth across the video games market remain intact.

The resilience of the video games industry to economic downturns and the continued strong demand for the Group's services from its clients, combined with the Group's flexible cost base, geographical diversification, broad range of services, financial strength and revenues from long standing client relationships position the Group well for this uncertain period and will see the Group emerge in a strong position.

Details of the Placing Agreement and the Placing Shares

Numis and Citi are acting as joint bookrunners and have entered into a placing agreement (the "Placing Agreement") with the Company, under which the Joint Bookrunners have severally (and not jointly or jointly and severally) agreed, on the terms and subject to the conditions set out therein, to use their reasonable endeavours to procure Placees to take up the Placing Shares in such number and at such price, if any, as may be agreed between the Joint Bookrunners and the Company and set out in the executed pricing agreement (the "Pricing Agreement"). The issue of the Placing Shares is to be effected by way of a cashbox placing. The Placing Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with the existing ordinary shares of £0.01 each in the capital of the Company (the "Ordinary Shares"), including the right to receive all dividends and other distributions declared, made or paid on or in respect of the Ordinary Shares after the date of issue of the Placing Shares, and will on issue be free of all claims, liens, charges, encumbrances and equities. The allotment and issue of the Placing Shares will be effected by way of a placing of new Ordinary Shares in the Company for non-cash consideration. Numis will subscribe for ordinary shares and redeemable preference shares in Project Titanium Funding Limited, a Jersey incorporated wholly owned subsidiary of the Company, for an amount approximately equal to the net proceeds of the Placing. The Company will allot and issue the Placing Shares on a non-pre-emptive basis to Placees in consideration for the transfer of the ordinary shares and redeemable preference shares in Project Titanium Funding Limited that will be issued to Numis. The proceeds raised through the Placing will be retained for the benefit of the Company.

Application for admission to trading

Application will be made to the London Stock Exchange plc (the "London Stock Exchange") for admission to trading of the Placing Shares on AIM market operated by the London Stock Exchange ("AIM") ("Admission").

It is expected that Admission will become effective not later than 8.00 a.m. (London time) on 20 May 2020 (or such later time and/or date as the Joint Bookrunners may agree with the Company) (the "Closing Date") and that dealings in the Placing Shares will commence at that time.

Bookbuild

The Joint Bookrunners will today commence the bookbuilding process in respect of the Placing (the "Bookbuild") to determine demand for participation in the Placing by Placees. The book will open with immediate effect. This Appendix gives details of the terms and conditions of, and the mechanics of participation in, the Placing. No commissions will be paid to Placees or by Placees in respect of any Placing Shares. The Joint Bookrunners and the Company shall be entitled to effect the Placing by such alternative method to the Bookbuild as they may, in their sole discretion, determine.

Participation in, and principal terms of, the Placing

1.         The Joint Bookrunners are acting as joint bookrunners, in relation to the Placing severally, and not jointly, nor jointly and severally, as agents of the Company. Participation in the Placing will only be available to persons who may lawfully be, and are, invited to participate by any of the Joint Bookrunners. Each of the Joint Bookrunners and their respective affiliates are entitled to enter bids as principal in the Bookbuild.

2.         The Bookbuild, if successful, will establish a single price payable in respect of the Placing Shares (the "Placing Price") to the Joint Bookrunners by all Placees whose bids are successful. The Placing Price and the aggregate proceeds to be raised through the Placing will be agreed between the Joint Bookrunners and the Company following completion of the Bookbuild. The Placing Price and the number of Placing Shares to be issued will be announced through a Regulatory Information Service (as defined in the AIM Rules for Companies (the "AIM Rules") following the completion of the Bookbuild.

3.         To bid in the Bookbuild, prospective Placees should communicate their bid by telephone or in writing to their usual sales contact at one of the Joint Bookrunners. Each bid should state the number of Placing Shares which the prospective Placee wishes to acquire at the Placing Price ultimately established by the Company and the Joint Bookrunners or at prices up to a price limit specified in its bid. Bids may be scaled down by the Joint Bookrunners on the basis referred to in paragraph 6 below.

4.            The Bookbuild is expected to close no later than 6:30 p.m (London time) on 14 May 2020, but may be closed earlier or later, at the discretion of the Joint Bookrunners. The Joint Bookrunners may, in agreement with the Company, accept bids that are received after the Bookbuild has closed.

5.         Each Placee's allocation will be agreed by the Joint Bookrunners and the Company and will be confirmed to Placees orally by the relevant Joint Bookrunner following the close of the Bookbuild, and a trade confirmation will be dispatched as soon as possible thereafter. The relevant Joint Bookrunner's oral confirmation to such Placee will constitute an irrevocable legally binding commitment upon such person (who will at that point become a Placee) in favour of such Joint Bookrunner and the Company, under which such Placee agrees to acquire the number of Placing Shares allocated to it and to pay the relevant Placing Price for each such Placing Share on the terms and conditions set out in this Appendix and in accordance with the Company's corporate documents. Placees that are QIBs and in the United States will be required to executed an Investor Letter in customary form and scope prior to the final allocation of any Placing Shares to such Placees.

6.            Placees that are QIBs and in the United States will be required to executed an Investor Letter in customary form and scope prior to the final allocation of any Placing Shares to such Placees.

7.         The Joint Bookrunners will, in effecting the Placing, agree with the Company the identity of the Placees and the basis of allocation of the Placing Shares. The Joint Bookrunners may choose to accept bids, either in whole or in part, on the basis of allocations determined in agreement with the Company and may scale down any bids for this purpose on such basis as it may determine. The Joint Bookrunners may also, notwithstanding paragraphs 3 and 5 above, in agreement with the Company: (i) allocate Placing Shares after the time of any initial allocation to any person submitting a bid after that time; and (ii) allocate Placing Shares after the Bookbuild has closed to any person submitting a bid after that time. The Company reserves the right (upon agreement with the Joint Bookrunners) to reduce or seek to increase the amount to be raised pursuant to the Placing, at its absolute discretion. The acceptance of the bids shall be at the relevant Joint Bookrunner's absolute discretion, subject to agreement with the Company.

8.         A bid in the Bookbuild will be made on the terms and subject to the conditions in this Appendix and will be legally binding on the Placee on behalf of which it is made and except with the relevant Joint Bookrunner's consent will not be capable of variation or revocation after the time at which it is submitted. Each Placee will also have an immediate, separate, irrevocable and binding obligation, owed to the relevant Joint Bookrunner, to pay it (or as it may direct) in cleared funds an amount equal to the product of the Placing Price and the number of Placing Shares that such Placee has agreed to acquire. Each Placee's obligations will be owed to the relevant Joint Bookrunner.

9.         Except as required by law or regulation, no press release or other announcement will be made by the Joint Bookrunners or the Company using the name of any Placee (or its agent), in its capacity as Placee (or agent), other than with such Placee's prior written consent.

10.         Irrespective of the time at which a Placee's allocation pursuant to the Placing is confirmed, settlement for all Placing Shares to be acquired pursuant to the Placing will be required to be made at the same time, on the basis explained below under "Registration and Settlement".

11.        All obligations under the Bookbuild and Placing will be subject to fulfilment or (where applicable) waiver of the conditions referred to below under "Conditions of the Placing" and to the Placing not being terminated on the basis referred to below under "Right to terminate under the Placing Agreement".

12.        By participating in the Bookbuild, each Placee agrees that its rights and obligations in respect of the Placing will terminate only in the circumstances described below and will not be capable of rescission or termination by the Placee after confirmation (oral or otherwise) by a Joint Bookrunner.

 13.        To the fullest extent permissible by law, none of the Joint Bookrunners, the Company nor any of their respective directors, officers, employees, agents or affiliates nor any person acting on their respective behalf shall have any responsibility or liability (whether in contract, tort or otherwise) to any Placee (or to any other person whether acting on behalf of a Placee or otherwise). In particular, none of the Joint Bookrunners, nor the Company, nor any of their respective directors, officers, employees, agents or affiliates nor any person acting on their respective behalf shall have any responsibility or liability (whether in contract, tort or otherwise and including to the extent permissible by law, any fiduciary duties) in respect of the Joint Bookrunners' conduct of the Bookbuild or of such alternative method of effecting the Placing as the Joint Bookrunners and the Company may agree.

Conditions of the Placing

The Placing is conditional upon the Placing Agreement becoming unconditional and not having been terminated in accordance with its terms. The Joint Bookrunners' obligations under the Placing Agreement are conditional on customary terms and conditions, including among others:

(a)  the delivery by the Company of a certificate confirming that none of the warranties or undertakings given by the Company in the Placing Agreement has been breached or was untrue or inaccurate or misleading  as of the date of the Placing Agreement and the Closing Date and that there has, so far as the Company is aware, occurred no event which has had certain material adverse changes in the financial condition or prospects of the Company nor any development which could reasonably be expected to involve a prospective any such material adverse change;

(b)  Admission occurring at or before 8:00 a.m. (London time) (or such later time or date the Joint Bookrunners may agree with the Company) on the Closing Date;

(c)  the Company having complied with its obligations under the Placing Agreement and the terms and conditions of the Placing which fall to be performed on or prior to the Closing Date;

(d)  the Pricing Agreement having been executed by the Company and the Joint Bookrunners (which shall be at the absolute discretion of the Company and the Joint Bookrunners);

(e)  the publication by the Company of, among other announcements, the results of the Placing through a Regulatory Information Service; and

(f)   the Company allotting, subject only to Admission, the relevant Placing Shares in accordance with the Placing Agreement.

If: (i) any of the conditions contained in the Placing Agreement, including those described above, are not fulfilled or (where applicable) waived by the Joint Bookrunners by the relevant time or date specified (or such later time or date as the Company and the Joint Bookrunners may agree); or (ii) the Placing Agreement is terminated in the circumstances specified below, the Placing will lapse and the Placees' rights and obligations hereunder in relation to the Placing Shares shall cease and terminate at such time and each Placee agrees that no claim can be made by it in respect thereof.

The Joint Bookrunners may, at their discretion and upon such terms as they think fit, waive compliance by the Company with the whole or any part of any of the Company's obligations in relation to the conditions contained in the Placing Agreement save that conditions (b), (d), (e) and (f) above may not be waived. Any such waiver will not affect Placees' commitments as set out in this Announcement.

By participating in the Placing each Placee agrees that none of the Joint Bookrunners, nor any of their respective directors, officers, employees, agents or affiliates shall have any liability (whether in contract, tort or otherwise) to any Placee (or to any other person whether acting on behalf of a Placee or otherwise) in respect of any decision it may make as to whether or not to waive or to extend the time and/or date for the satisfaction of any condition to the Placing or in respect of the Placing generally, and by participating in the Placing each Placee agrees that any such decision is within the absolute discretion of the Joint Bookrunners. By participating in the Bookbuild, each Placee agrees that its rights and obligations hereunder terminate only in the circumstances described above and under "Right to terminate under the Placing Agreement" below, and will not be capable of rescission or termination by the Placee.

Right to terminate under the Placing Agreement

The Joint Bookrunners are entitled, at any time before Admission, to terminate the Placing Agreement in accordance with its terms in certain circumstance, including: (i) breach of the representation, warranties or undertakings of the Company contained in the Placing Agreement; or (ii) upon the occurrence, in the opinion of the Joint Bookrunners of certain material adverse changes in the financial condition or prospects of the Company; (iii) in the event of certain force majeure events.

Upon termination of the Placing Agreement, the parties to the Placing Agreement shall be released and discharged (except for any liability arising before or in relation to such termination) from their respective obligations under or pursuant to the Placing Agreement, subject to certain exceptions.

By participating in the Placing, Placees agree that the exercise or non-exercise by any Joint Bookrunner of any right of termination or other discretion arises under the Placing Agreement and neither the Company nor the Joint Bookrunners need to make any reference to, or consultation with, Placees and neither the Company nor the Joint Bookrunners nor any of their respective directors, officers, employees, agents or affiliates shall have any liability to Placees whatsoever in connection with any such exercise or failure to exercise.

Lock-up

The Company has undertaken to the Joint Bookrunners that, between the date of the Placing Agreement and three months days after the Closing Date (inclusive), it will not, without the prior written consent of the Joint Bookrunners, enter into certain transactions involving or relating to the Ordinary Shares, subject to certain carve-outs agreed between the Joint Bookrunners and the Company.

By participating in the Placing, Placees agree that the exercise by the Joint Bookrunners of any power to grant consent to the undertaking by the Company of a transaction which would otherwise be subject to the lock-up under the Placing Agreement shall be within the discretion of the Joint Bookrunners and that it need not make any reference to, or consultation with, Placees and that it shall have no liability to Placees whatsoever in connection with any such exercise of the power to grant consent or failure to exercise such power.

No Prospectus

No offering document or prospectus has been or will be submitted to be approved by the FCA (or any other authority) in relation to the Placing or Admission and no such prospectus is required (in accordance with the Prospectus Regulation) to be published.

Placees' commitments will be made solely on the basis of the information contained in this Announcement. Each Placee, by accepting a participation in the Placing, agrees that the content of this Announcement (including this Appendix) and all other publicly available information previously or simultaneously published by the Company by notification to a Regulatory Information Service or otherwise filed by the Company is exclusively the responsibility of the Company and confirms that it has neither received nor relied on any other information, representation, warranty, or statement made by or on behalf of the Company or the Joint Bookrunners or any other person and none of the Company, the Joint Bookrunners nor any of their respective affiliates, nor any other person will be liable for any Placee's decision to participate in the Placing based on any other information, representation, warranty or statement which the Placees may have obtained or received (regardless of whether or not such information, representation, warranty or statement was given or made by or on behalf of any such persons). Each Placee acknowledges and agrees that it has relied on its own investigation of the business, financial or other position of the Company in accepting a participation in the Placing. Nothing in this paragraph shall exclude the liability of any person for fraudulent misrepresentation.

Registration and Settlement

Settlement of transactions in the Placing Shares (ISIN: GB00BBQ38507) following Admission will take place within the relevant system administered by Euroclear ("CREST"), using the delivery versus payment mechanism, subject to certain exceptions. Subject to certain exceptions, the Joint Bookrunners and the Company reserve the right to require settlement for, and delivery of, the Placing Shares to Placees by such other means that they deem necessary if delivery or settlement is not practicable in CREST within the timetable set out in this Announcement or would not be consistent with the regulatory requirements in the Placee's jurisdiction.

 Following the close of the Bookbuild for the Placing, each Placee allocated Placing Shares in the Placing will be sent a contract note stating the number of Placing Shares to be allocated to it at the Placing Price, the aggregate amount owed by such Placee to the relevant Joint Bookrunner and settlement instructions. ). It is expected that such contract note will be despatched on or around 15 May 2020 and that this will also be the trade date.

Placees should settle against CREST ID: 600 (Numis Securities Limited).

Each Placee agrees that it will do all things necessary to ensure that delivery and payment is completed in accordance with either the standing CREST or certificated settlement instructions that it has in place with the relevant Joint Bookrunner.

The Company will deliver the Placing Shares to a CREST account operated by Numis as agent for the Company and Numis and Citi will enter its delivery (DEL) instruction into the CREST system. Numis will hold any Placing Shares delivered to this account as nominee for the Placees.

The input to CREST by a Placee of a matching or acceptance instruction will then allow delivery of the relevant Placing Shares to that Placee against payment.

It is expected that settlement will be on 20 May 2020 on a T+3 basis in accordance with the instructions set out in the contract note.

In the event of any difficulties or delays in the admission of the Placing Shares to CREST or the use of CREST in relation to the Placing, the Company and the Joint Bookrunners may agree that the Placing Shares should be issued in certificated form.

Interest is chargeable daily on payments not received from Placees on the due date in accordance with the arrangements set out above at the rate of two percentage points above LIBOR as determined by the Joint Bookrunners.

Each Placee is deemed to agree that, if it does not comply with these obligations, the Joint Bookrunners may sell any or all of the Placing Shares allocated to that Placee on such Placee's behalf and retain from the proceeds, for the Joint Bookrunners' account and benefit, an amount equal to the aggregate amount owed by the Placee plus any interest due. The relevant Placee will, however, remain liable for any shortfall below the aggregate amount owed by it and may be required to bear any stamp duty or stamp duty reserve tax or other stamp, securities, transfer, registration, execution, documentary or other similar impost, duty or tax imposed in any jurisdiction (together with any interest, fines or penalties) which may arise upon the sale of such Placing Shares on such Placee's behalf. By communicating a bid for Placing Shares, each Placee confers on the Joint Bookrunners all such authorities and powers necessary to carry out any such sale and agrees to ratify and confirm all actions which the Joint Bookrunners lawfully takes in pursuance of such sale.

If Placing Shares are to be delivered to a custodian or settlement agent, Placees should ensure that the trade confirmation is copied and delivered immediately to the relevant person within that organisation.

Insofar as Placing Shares are settled in a Placee's name or that of its nominee or in the name of any person for whom a Placee is contracting as agent or that of a nominee for such person, such Placing Shares should, subject as provided below, be so settled free from any liability to UK stamp duty or stamp duty reserve tax. If there are any circumstances in which any other stamp duty or stamp duty reserve tax (and/or any interest, fines or penalties relating thereto) is payable in respect of the allocation, allotment, issue or delivery of the Placing Shares (or for the avoidance of doubt if any stamp duty or stamp duty reserve tax is payable in connection with any subsequent transfer of or agreement to transfer Placing Shares), neither the Joint Bookrunners nor the Company shall be responsible for the payment thereof.

37      that any agreements entered into by it pursuant to the terms and conditions set out in this Appendix, and all non-contractual or other obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of England and Wales and it submits (on behalf of itself and on behalf of any person on whose behalf it is acting) to the exclusive jurisdiction of the English courts as regards any claim, dispute or matter arising out of any such contract (including any dispute regarding the existence, validity or termination of such contract or relating to any non-contractual or other obligation arising out of or in connection with such contract), except that enforcement proceedings in respect of the obligation to make payment for the Placing Shares (together with any interest chargeable thereon) may be taken by either the Company or the Joint Bookrunners in any jurisdiction in which the relevant Placee is incorporated or in which any of its securities have a quotation on a recognised stock exchange;

38      to indemnify on an after tax basis and hold the Company, the Joint Bookrunners and their respective directors, officers, employees, agents and affiliates harmless from any and all costs, claims, liabilities and expenses (including legal fees and expenses) arising out of or in connection with any breach of the representations, warranties, acknowledgements, agreements and undertakings in this Appendix and further agrees that the provisions of this Appendix shall survive after completion of the Placing;

39      that if it has received any inside information about the Company in advance of the Placing, it has not: (i) dealt in the securities of the Company; (ii) encouraged or required another person to deal in the securities of the Company; or (iii) disclosed such information to any person, prior to such information being made publicly available;

40      that the Placing Shares are expected to be issued to it through CREST;

41      where it is acquiring the Placing Shares for one or more managed accounts, that it is authorised in writing by each managed account to acquire the Placing Shares for each managed account and it has full power to make the acknowledgements, representations and agreements herein on behalf of each such account;

42      if it is a pension fund or investment company, that its purchase of Placing Shares is in full compliance with applicable laws and regulations; and

43      that the Company, the Joint Bookrunners and their respective affiliates and others will rely upon the truth and accuracy of the foregoing representations, warranties, acknowledgements and undertakings which are given to each Joint Bookrunner on its own behalf and on behalf of the Company and are irrevocable.

The foregoing representations, warranties, confirmations, acknowledgements, agreements and undertakings are given for the benefit of the Company as well as the Joint Bookrunners and are irrevocable.

Each Placee not acquiring the Placing Shares in an "offshore transaction" pursuant to Regulation S (each a "U.S. Placee") shall make specific representations, warranties, agreements and acknowledgements in the Investor Letter. Each U.S. Placee acknowledges that it will not be permitted to purchase, subscribe for or otherwise take up Placing Shares unless it has signed and returned such representation letter in accordance with the terms thereof.

The agreement to settle a Placee's acquisition of Placing Shares (and/or the acquisition by a person for whom such Placee is contracting as agent or nominee) free of UK stamp duty and stamp duty reserve tax depends on the settlement relating only to an acquisition by it and/or such person for whom it is contacting as agent or nominee direct from the Company for the Placing Shares in question. Such agreement also assumes that the Placing Shares are not being acquired in connection with arrangements to issue depositary receipts or to issue or transfer the Placing Shares into a clearance service. If there are any such arrangements, or the settlement relates to any other dealing in the Placing Shares, stamp duty or stamp duty reserve tax or other similar taxes may be payable, for which neither the Company nor the Joint Bookrunners will be responsible and the Placees shall indemnify the Company and the Joint Bookrunners on an after-tax basis for any stamp duty or stamp duty reserve tax paid by them in respect of any such arrangements or dealings. If this is the case, each Placee should seek its own advice and notify the Joint Bookrunners accordingly.

In addition, Placees should note that they will be liable for any stamp duty and all other stamp, issue, securities, transfer, registration, documentary or other duties or taxes (including any interest, fines or penalties relating thereto) payable outside the UK by them or any other person on the acquisition by them of any Placing Shares or the agreement by them to acquire any Placing Shares.

Each Placee, and any person acting on behalf of the Placee, acknowledges that the Joint Bookrunners do not owe any fiduciary or other duties to any Placee in respect of any representations, warranties, undertakings or indemnities in the Placing Agreement.

Each Placee and any person acting on behalf of the Placee acknowledges and agrees that any Joint Bookrunners or any of its affiliates may, at its absolute discretion, agree to become a Placee in respect of some or all of the Placing Shares.

When a Placee or person acting on behalf of the Placee is dealing with a Joint Bookrunner, any money held in an account with such Joint Bookrunner on behalf of the Placee and/or any person acting on behalf of the Placee will not be treated as client money within the meaning of the rules and regulations of the FCA made under the FSMA. Each Placee acknowledges that the money will not be subject to the protections conferred by the client money rules; as a consequence, this money will not be segregated from such Joint Bookrunner's money in accordance with the client money rules and will be used by such Joint Bookrunner in the course of its own business and the Placee will rank only as a general creditor of such Joint Bookrunner.

Past performance is no guide to future performance and persons needing advice should consult an independent financial adviser.

The rights and remedies of the Joint Bookrunners and the Company under these terms and conditions are in addition to any rights and remedies which would otherwise be available to each of them and the exercise or partial exercise of one will not prevent the exercise of others.

All times and dates in this Announcement may be subject to amendment. The Joint Bookrunners shall notify the Placees and any person acting on behalf of the Placees of any changes.
