Results of Placing

Aston Martin Lagonda is pleased to announce the results of the non-pre-emptive placing (the "Placing") of new ordinary shares of £0.009039687 each in the capital of the Company ("Ordinary Shares") announced this morning, as well as the concurrent offer made by the Company for retail investors to subscribe for Ordinary Shares via the PrimaryBid platform (the "Retail Offer").

The Placing and the Retail Offer in aggregate comprise 304,000,000 new Ordinary Shares, which will raise gross proceeds of £152 million. The price of 50 pence (the "Placing Price") represents a discount of 8.1 per cent. to the middle market price at the time at which the Placing Price was agreed. The Ordinary Shares being issued under the Placing (the "Placing Shares") and under the Retail Offer (the "Retail Shares") together represent approximately 19.99 per cent. of the existing Ordinary Shares prior to the Placing and the Retail Offer.

Barclays Bank PLC, acting through its investment bank ("Barclays") and J.P. Morgan Securities plc, which conducts its UK investment banking activities as J.P. Morgan Cazenove ("J.P. Morgan Cazenove") are acting as joint global coordinators and joint bookrunners in connection with the Placing (the "Joint Global Coordinators"). Deutsche Bank AG, London Branch ("Deutsche Bank") and Morgan Stanley & Co. International plc ("Morgan Stanley", and together with Barclays and J.P. Morgan Cazenove and Deutsche Bank, the "Banks") are acting as joint bookrunners.

Applications will be made to the Financial Conduct Authority (the "FCA") and the London Stock Exchange plc (the "LSE") respectively for the admission of the Placing Shares and the Retail Shares to listing on the premium listing segment of the Official List of the FCA and to trading on the main market for listed securities of the LSE (together, "Admission"). It is expected that Admission will become effective on or before 8.00 a.m. on 30 June 2020. The Placing and the Retail Offer are each conditional upon, amongst other things, Admission becoming effective and upon the placing agreement not being terminated in accordance with its terms prior to Admission.

The Placing Shares and Retail Shares will, when issued, be fully paid and rank pari passu in all respects with the existing Ordinary Shares including, without limitation, the right to receive all dividends and other distributions declared, made or paid after the date of issue.

Following Admission, the total number of shares in issue in Aston Martin Lagonda will be 1,824,014,450. Aston Martin Lagonda currently holds no Ordinary Shares in treasury. Therefore, following Admission, the total number of voting rights in Aston Martin Lagonda will be 1,824,014,450. This figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change in their interest in, the Company under the Disclosure Guidance and Transparency Rules of the FCA.

Related party transactions

Yew Tree Overseas Limited ("Yew Tree") is a substantial shareholder in the Company for the purposes of the Listing Rules as a result of being entitled to exercise, or to control the exercise of, over 10 per cent. of the votes able to be cast at general meetings of the Company. Yew Tree is therefore considered to be a related party for the purposes of Listing Rules. Yew Tree has agreed to subscribe for 75,999,277 Placing Shares in the Placing, amounting to a total subscription of approximately £38.0 million. The participation in the Placing by Yew Tree constitutes a "smaller" related party transaction and falls within Listing Rule 11.1.10 R(1) and this announcement is therefore made in accordance with Listing Rule 11.1.10R(2)(c).

The shareholder group comprising of Galaxy Investments Limited, Adeem Automotive Manufacturing Company Limited, Stehwaz Automotive Jersey Limited, Najeeb Al-Humaldi, Primewagon (Jersey) Limited, Waleed Al-Humaidhi, RAR Limited, Adnan Al-Musallam, AGD Limited, MSY Limited, Venus Holdings Limited, Ulrich Bez, Capital Group, Multidimensional Connectivity (MDC) Limited and China Lesso Group Holdings Limited (together, the "Adeem/Primewagon Shareholder Group") is a substantial shareholder in the Company for the purposes of the Listing Rules as a result of being entitled to exercise, or to control the exercise of, over 10 per cent. of the votes able to be cast at general meetings of the Company. The Adeem/Primewagon Group is therefore considered to be a related party for the purposes of Listing Rules. Certain members of the Adeem/Primewagon Shareholder Group have agreed to subscribe for 9,000,000 Placing Shares in the Placing, amounting to a total subscription of £4.5 million. The participation in the Placing by these members of the Adeem/Primewagon Shareholder Group constitutes a "smaller" related party transaction and falls within Listing Rule 11.1.10 R(1) and this announcement is therefore made in accordance with Listing Rule 11.1.10R(2)(c).

Investindustrial Advisors Limited (as investment manager to Investindustrial V L.P. and Investindustrial VI L.P.) ("Investindustrial") is a substantial shareholder in the Company for the purposes of the Listing Rules as a result of being entitled to exercise, or to control the exercise of, over 10 per cent. of the votes able to be cast at general meetings of the Company through Prestige Motor Holdings S.A., Preferred Prestige Motor Holdings S.A. and  Strategic European Investment Group S.à.r.l.. Investindustrial is therefore considered to be a related party for the purposes of Listing Rules. Investindustrial has agreed to subscribe for 23,662,788 Placing Shares in the Placing through Prestige Motor Holdings S.A. and Preferred Prestige Motor Holdings S.A., amounting to a total subscription of approximately £11.8 million. The participation in the Placing by Investindustrial through Prestige Motor Holdings S.A. and Preferred Prestige Motor Holdings S.A. constitutes a "smaller" related party transaction and falls within Listing Rule 11.1.10 R(1) and this announcement is therefore made in accordance with Listing Rule 11.1.10R(2)(c).
