Issue of Equity

 

Blue Prism announces that the Company has allotted 1,078,102 new ordinary shares of 1p each in the Company in connection with its deferred consideration obligations entered into as part of the Company's acquisition of Thoughtonomy. Such new ordinary shares form part of the total consideration communicated at the time of the announcement of the acquisition (and, specifically, represent the share consideration payable by the Company on the first anniversary of completion of the acquisition, as detailed in the acquisition announcement dated 19 June 2019). In accordance with the agreed terms of the acquisition, the new ordinary shares will be subject to a 6-month lock-in and a further 6-month orderly market restriction.

Application has been made for the new ordinary shares to be admitted to trading on AIM and admission is expected to take place on 23 July 2020. Following admission, Blue Prism will have a total of 93,646,605 ordinary shares in issue. All ordinary shares will have equal voting rights and none of the ordinary shares will be held in treasury.

Shareholders may use the above figure as the denominator for the calculations by which they determine if they are required under the Disclosure and Transparency Rules to notify their interest in, or a change to their interest in, the Company.
