     Issue of Shares

Keywords Studios, the international technical and creative services provider to the global video games industry, today announces the issuance of 55,612 new ordinary shares to the vendor of Ichi Holdings Limited ("Ichi") in respect of the deferred share consideration due on the anniversary of Ichi being acquired.  Keywords Studios is due to issue a further 14,635 new ordinary shares to the vendor of Ichi in six months' time representing the last tranche of consideration payable for the acquisition.

Since the acquisition, the shares to be issued relating to Ichi have been fully represented in the reported earnings per share numbers through the basic and diluted weighted average denominators used. 

Application has been made to the London Stock Exchange for the admission of 55,612 new ordinary shares to trading on AIM.  Admission of the new shares is expected to take place at 8:00am on 2 December 2020.  The Company's total issued share capital following admission will consist of 74,029,546 ordinary shares of one pence each with one voting right per share.  The figure of 74,029,546 may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company following admission.
