Ref: Intimation under Regulation 29(1) and 50(3) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations')

Sub: Board Meeting for approval of the unaudited financial results of Housing Development Finance Corporation Limited ('the Corporation') and unaudited consolidated financial results for the quarter/nine months ended December 31, 2020 and closure of trading window

We wish to inform you that a meeting of the Board of Directors of the Corporation is scheduled to be held on Tuesday, February 2, 2021 at its Corporate Office inter alia, to consider and approve the un-audited financial results (standalone) of the Corporation and the un-audited consolidated financial results, for the quarter/ nine months ended December 31, 2020, subject to limited review by the Statutory Auditors of the Corporation.

We further wish to inform you that at the said meeting, the Board of Directors of the Corporation would also consider the issuance of secured/unsecured redeemable non-convertible debentures, in various tranches under a Shelf Disclosure Document, aggregating ` 45,000 crore on a private placement basis, in accordance with the approval granted by the shareholders of the Corporation at the 43^rd Annual General Meeting held on July 30, 2020.

The outcome of the board meeting and the said results along with Limited Review Reports issued by the Statutory Auditors will be submitted to you, in accordance with the Listing Regulations.

We also wish to inform that the window for trading in the securities of the Corporation has been closed with effect from Friday, January 1, 2021 and shall continue to remain closed up to Thursday, February 4, 2021 (both days inclusive) for all the employees, designated employees and directors of the Corporation including their immediate relatives, in terms of the HDFC Securities Dealing Code and the SEBI (Prohibition of Insider Trading) Regulations, 2015.
