Notification and public disclosure of transactions by persons discharging managerial responsibilities ("PDMR")
The Company announces that on 29 July 2021, Chris Clark and Nick Brown (CEO and Group Managing Director, respectively) exercised options over a total of 423,001 ordinary shares of 2.5 pence each in the Company ("Ordinary Shares").
They also sold a total of 347,777 Ordinary Shares on the same day, retaining the balance of shares arising from the exercises in their respective holdings.
The details of the transactions are as follows:
· Chris Clark (CEO) exercised options over:
(i) 236,066 ordinary shares of 2.5 pence each in the Company ("Ordinary Shares") at an exercise price of 293 pence per Ordinary Share. The exercise was in respect of the second tranche of Mr Clark's incentive options which were awarded upon taking up his appointment as CEO in 2017 and which vested in June 2021; and
(ii) 94,746 Ordinary Shares awarded in February 2019 under GBG's Share Match Scheme at an exercise price of 2.5 pence per Ordinary Share.
He sold a total of 296,990 of the vested Ordinary Shares under the option at a price of 850 pence per share on 29 July 2021.
· Nick Brown (Group Managing Director) exercised an option over 92,189 Ordinary Shares awarded in February 2019 under GBG's Share Match Scheme at an exercise price of the options was 2.5 pence per Ordinary Share. He sold 50,787 of the vested Ordinary Shares under the option at a price of 850 pence per share on 29 July 2021.
Following this notification:
· Mr Clark has a beneficial holding of 312,423 Ordinary Shares (which represents 0.16% of the issued share capital of the Company) and continues to have options over a maximum of 935,400.
· Mr Brown has a beneficial holding of 636,707 Ordinary Shares (which represents 0.32% of the issued share capital of the Company) and continues to have options over a maximum of 423,801.
