NOTIFICATION OF BOARD CHANGES
Appointment of New Director
The Company announces that, following a process run via an independent recruitment consultant, Davina Walter has been appointed as an independent Non-Executive Director, with effect from 10 August 2021. She will also join the Audit and Management Engagement Committee.
Davina Walter is an experienced investment professional who currently acts as an independent charity investment consultant. She started her career at Cazenove & Co where she spent more than 11 years, culminating as the Head of US equity research. She then spent over 16 years as an investment manager of both large and small cap US equities, most recently as a Managing Director at Deutsche Asset Management. She has been actively involved with investment trusts since 1985 and is Chairman of Aberdeen Diversified Income and Growth Trust plc and a Director of JPMorgan Elect plc.

Board Succession
The Company had previously announced that Andy Pomfret would step down as Chairman at the forthcoming Annual General Meeting, to be held on 22 September 2021.
In light of recent changes in the composition of the Board, Andy will continue as Chairman until the end of 2021 and will therefore stand for re-election at the AGM. The Board's current intention is that Andy will be succeeded by Ashe Windham as Chairman with effect from January 2022.
As at 9 August 2021, Davina Walter held 33,228 shares in the Company.
