Directorate Change - Chief Financial Officer and Notice of Results

Further to the announcement on 14 September 2021, Bytes Technology Group ("Bytes" or "the Group"), one of the UK's leading software, security and cloud services specialists, is pleased to announce the appointment of Andrew Holden as Chief Financial Officer ("CFO"). Andrew will assume the position of CFO immediately and joins the Board as an Executive Director. The responsibilities that Andrew held in his previous position as Chief Operating Officer ("COO") will be absorbed into his CFO role.

The Board considers it appropriate that, as part of the managed handover period and controlled transition of responsibilities announced previously, Keith Richardson will step down as Executive Director with immediate effect.

Andrew joined Bytes as COO on 1 June 2021 from JSE-listed technology company, Altron Limited, Bytes' former parent company, from which it demerged in 2020. Andrew has extensive financial and operational experience in the ICT sector, having spent more than 27 years at Altron, the last 15 years in various senior leadership roles. His most recent position was that of COO which he held for five years, including a period of eight months where he held both the COO and CFO roles simultaneously.

Patrick De Smedt, Chairman of Bytes, said: "We are very pleased to announce Andrew as Keith's permanent successor as Chief Financial Officer. Andrew brings to the role a wealth of industry experience and benefits from knowing Bytes well from his time at Altron. We look forward to supporting him and Neil Murphy on the successful delivery of our growth strategy in the years ahead."

Andrew Holden, Chief Financial Officer of Bytes, said: "I am very proud to be appointed to the role of CFO on a permanent basis and I am excited about the opportunities that lie ahead for the Group. I am looking forward to working closely with Neil to maximise the growth potential of Bytes."

Andrew does not hold any other directorships in publicly quoted companies and has not held any in the past five years. There are no further disclosures to be made pursuant to the change in directorate.
