NOTIFICATION AND PUBLIC DISCLOSURE OF TRANSACTIONS BY PERSON DISCHARGING MANAGERIAL RESPONSIBILITIES ('PDMR')
The Company announces that, on 11 March 2022, it granted a Nil Cost Option ("Option") over Ordinary Shares of £0.001 each in the Company ("Shares"), in accordance with the Rules of the Pod Point Long-Term Incentive Plan ("LTIP"), to Erik Fairbairn, Chief Executive Officer of the Company.
Vesting of the Option is subject to the Rules of the LTIP and upon continued employment to the normal vesting date and the achievement of performance conditions. The performance conditions applicable to the Option are based on (1) revenue in 2024, (2) recurring and owned asset revenue in 2024, (3) cumulative adjusted EBITDA, and (4) proportion of the Pod Point UK leased or owned vehicle fleet that are Battery Electric Vehicles (BEV) or Range-extended hybrid vehicles (REX) (25% weighting for each measure).
The number of Shares under Option that will vest will depend upon the extent to which the performance conditions have been achieved.
No consideration is payable either on the grant or vesting of the Option. The Option will normally vest three years from the date of grant.
This notification is made in accordance with the requirements of Article 19 of the UK Market Abuse Regulation.
