Successful Refinancing of US Private Placement Notes

Tyman plc ("Tyman" or the "Group"), a leading international supplier of engineered components and access solutions to the construction industry, has agreed to issue $75 million of innovative sustainability-linked US Private Placement Notes (the "Notes") to a large US-based institution. The Notes will be issued in April and have maturities of 7 and 10 years and an average coupon of 3.56%.

The Notes incorporate three sustainability performance targets which align with Tyman's sustainability roadmap:

1. Reduction in Tyman's Scope 1 and 2 emissions by a series of milestones, including a reduction of 50% by 2026 and carbon neutrality by 2030 (relative to 2019 baseline)

2. Submission of Tyman's Scope 3 target to the Science Based Target initiative (SBTi) for verification by February 2023

3.  Participation in CDP in 2022 and annually thereafter

This incentive mechanism results in a modest reduction or increase in the coupons depending on Tyman's performance against the targets which will be reported in its Annual Report and Accounts. This represents one of the first UK issuances of US private placement notes with a potential reduction in coupons.
