Exercise of share options and total voting rights
First Property Group plc (AIM: FPO), the award winning property fund manager and investor with operations in the UK and Central Europe, was notified on 5 April 2022 that Jeremy Barkes, a director of First Property Asset Management Ltd and person discharging managerial responsibility, has exercised options over 500,000 ordinary shares of 1p each in the share capital of the Company ("Ordinary Shares").
These options were granted pursuant to the First Property Group share option scheme at an exercise price of 11.50 pence per Ordinary Share. In order to meet tax obligations a total of 180,000 were sold at 34.5 pence per Ordinary Share. Following this exercise, the total number of shares held by Jeremy Barkes will be 1,583,606.
Following these sales the total number of outstanding share options over Ordinary Shares has reduced to 2,110,000.
In order to exercise these options, 500,000 Ordinary Shares were sold by the Company from Treasury, resulting in the number of Ordinary Shares in Treasury reducing to 5,718,783.
Application has been made for the admission to trading on AIM of the new Ordinary Shares ("Admission"). The new Ordinary Shares will rank pari passu in all respects with the Company's existing Ordinary Shares in issue and Admission is expected to occur on 11 April 2022. Following Admission the total number of Ordinary Shares with voting rights will increase to 110,882,332. Under the Financial Conduct Authority's Disclosure Guidance and Transparency rules the figure of 110,882,332 Ordinary Shares should be used by shareholders as the denominator for calculations by which to determine if they are required to notify their interest, or a change in their interest, in the Ordinary Share capital of First Property Group plc.
