Completion of Tender Offer and Total Voting Rights
The Company announces that pursuant to the Company's Tender Offer, as described in the Circular to shareholders dated 15 August 2022, the Company has purchased 10,184,894 ordinary shares of 2.5 pence each in the capital of the Company ("Ordinary Shares"), being 1 in every 40 Ordinary Shares, at a price of 250 pence per Ordinary Share, all of which have been transferred to treasury.
Following the above transaction, the Company has 438,777,780 Ordinary Shares in issue, of which 41,566,914 Ordinary Shares are held by the Company as treasury shares. Therefore the total number of Ordinary Shares in issue excluding treasury shares and also the total number of voting rights in the Company is 397,210,866 and this figure should be used by shareholders as the denominate for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, Ordinary Shares under the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority.
