Update on Scheme - FCA approval obtained

ThinkSmart Limited (AIM: TSL) refers to the proposed acquisition of ThinkSmart by Tuscan Equity Pty Ltd ("Bidco") by way of a scheme of arrangement under the Australian Corporations Act 2001 (Cth) (the "Scheme"), as announced on 29 July 2022 and referred to in its subsequent announcements regarding the Scheme, which will be voted on by ThinkSmart shareholders at the meetings to be held on 16 November 2022.

ThinkSmart is pleased to advise that it has received written confirmation from the UK Financial Conduct Authority ("FCA") confirming that the FCA has approved the proposed change of control whereby Bidco will be a controller of ThinkSmart's subsidiary, RentSmart Limited. The FCA condition contained in clause 3.1(a)(1) of the Scheme Implementation Deed between ThinkSmart and Bidco has therefore been satisfied.
