Notification and public disclosure by directors/persons discharging managerial responsibilities and persons closely associated with them
Telecom Plus PLC received notification on 6 December 2022 that Charles Wigoder, Chairman, and his wife Elizabeth Wigoder, respectively disposed of 2,058,495 and 25,000 ordinary shares in the Company of 5p each ("Ordinary Shares") on 6 December 2022. The Company also received notification on 6 December 2022 that the Wigoder Family Foundation (a registered charity), in which Mr Wigoder has a non-beneficial interest, disposed of 500,000 Ordinary Shares on 6 December 2022 ("the Disposals").
The Disposals were conducted through Peel Hunt and Numis Securities in response to strong institutional demand. Mr Wigoder remains clearly aligned with the long-term growth and success of the Company and has confirmed that he will not sell any further Ordinary Shares for at least 6 months (subject to waiver by Peel Hunt and Numis Securities and to certain customary exceptions).
Mr Wigoder, and his persons closely associated, remain the largest personal shareholders with a beneficial interest in 5,337,991 Ordinary Shares, and a non-beneficial interest in 3,092,683 Ordinary Shares through the Wigoder Family Foundation, representing approximately 6.7 per cent. and 3.9 per cent. respectively of the total voting rights in the Company.
The total number of Ordinary Shares in which Mr Wigoder, and his persons closely associated, retain an interest is 8,430,674 Ordinary Shares, representing approximately 10.6 per cent. of the total voting rights in the Company.
The attached notification, made in accordance with Article 19 of the EU Market Abuse Regulation 596/2014 (as incorporated into UK domestic law by the European Union (Withdrawal) Act 2018), gives further detail of the number of Ordinary Shares disposed.
