Exercise of options and issue of new ordinary shares; PDMR Dealing
Pursuant to the exercise of share options the Company confirms that application has been made to the London Stock Exchange for the admission of 703,193 new ordinary shares to trading on AIM. Admission is expected to take place at 8.00am on 3 February 2023.
Out of the 703,193 shares, 32,667 shares are being allotted to satisfy the exercise of 2019 Sharesave Scheme options and purchase of shares by Executive Director/PDMR Piers Lea. Following this allotment Piers now holds 8,746,697 shares, representing approximately 1.1% of the issued share capital, of which 2,000,000 shares are held in a Family Trust where Piers Lea is a Trustee, and therefore the trust is considered to be a Person Closely Associated with Piers Lea.
The remaining 670,526 shares are being allotted to satisfy the exercise of unapproved options by employees.
Following the anticipated admission of these shares, the total number of ordinary shares of 0.375p each in the capital of the Company in issue will be 790,528,034.
404,340 shares are held in LTG's Employee Benefit Trust. Voting rights and dividend entitlements have been waived for those shares. The figure of 790,123,694 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
