     Issue of Shares

Keywords Studios, the international technical and creative services provider to the global video games industry, today announces the issuance of 26,600 new ordinary shares to the vendors of Waste Creative Ltd¹ ("Waste") in respect of the share element of contingent consideration due based on the performance of Waste post completion.

Since the acquisition, the shares to be issued relating to Waste have been fully represented in the reported earnings per share numbers through the basic and diluted weighted average denominators used. 

Application has been made to the London Stock Exchange for the admission of these 26,600 new ordinary shares to trading on AIM.  Admission of the new shares is expected to take place at 8:00am on 15 March 2023.  The Company's total issued share capital following admission will consist of 78,232,559 ordinary shares of one pence each with one voting right per share. The figure of 78,232,559 may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company following admission.
