Notification of transactions by Persons Discharging Managerial Responsibilities ("PDMR")
Hamilton, Bermuda - Further to the Company's announcement on 17 May 2022, the second tranche of the buy-out award made to Paul Cooper, PDMR, under the Company's Performance Share Plan (the "Plan") vested on 3 April, 2023 (the "Award").
In accordance with the terms of the Plan, Mr Cooper is also entitled to receive an additional 820 ordinary shares of 6.5p each ("Shares") equivalent to the dividends paid by the Company between the date of grant and the date of vesting in respect of the Award of 86,780 Shares ("Rolled Up Dividend").
On the same day, Mr Cooper sold 41,317 Shares at a price of £10.89 per Share to cover associated tax liabilities.
The notifications set out below are made in accordance with the UK version of the EU Market Abuse Regulation (2014/596/EU) which is part of UK law by virtue of the European Union (Withdrawal) Act 2018.
