2023 NOTICE OF ANNUAL GENERAL MEETING
CHL, the parent company of Conduit Re, a pure-play reinsurance business based in Bermuda, today announces that its 2023 Annual General Meeting ("AGM") will be held at CHL's offices at 2nd Floor, Ideation House, 94 Pitts Bay Road, Pembroke, HM08, Bermuda at 10:00 a.m., Atlantic time on 17 May 2023.
The 2023 Notice of Annual General Meeting (the "Notice of AGM") will be distributed to shareholders today and, in accordance with Listing Rule 9.6.1, will be submitted to the National Storage Mechanism, where it will be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
A copy of the Notice of AGM is also available on the "Shareholder information and communications" page within the "Corporate Governance" section of our website (www.conduitreinsurance.com). A Form of Proxy and a Form of Instruction (for depositary interest holders) for the AGM are available on the same web page.
CHL will offer shareholders the ability to join the Annual General Meeting via video conference (subject to pre-registration requirements), as detailed in the AGM Notice.
Shareholders wishing to vote on any of the matters of business at the AGM are strongly encouraged to submit their votes in advance by using one of the methods set out in the Notice of AGM. Shareholders should appoint the chair of the AGM as their proxy to ensure that their vote is counted. Depositary interest holders will need to submit their votes via the custodian or a vote submitted via the online or CREST voting system as detailed on the Form of Instruction that accompanies the AGM Notice.
