Notice of 2022 AGM

The Board of Directors (the "Board") of PJSC Polyus (LSE, MOEX - PLZL) ("Polyus", or the "Company") has resolved to convene the Annual General Shareholders' Meeting ("AGM") of PJSC Polyus.

Date of AGM: 06 June 2023.

Format of the Meeting: Absentee voting.

Ballot submission deadline: 05 June 2023 (inclusive).

Record date (the date of drawing up the list of persons entitled to participate in the AGM): 12 May 2023.

The Board will come up with the list of candidates to be elected to the Board of Directors at the AGM as well as the final decision on the dividend recommendation for the full year 2022 in a due course ahead of the AGM. To recap, the Company's existing dividend policy suggests 30% of annual EBITDA to be paid out in from of dividend.

Moreover, the Company expects that following the AGM the Board will consist of nine members, including three Independent Directors, in line with its previously announced intentions. Polyus intends to introduce an ESG Committee to the Board structure. The objective of the Committee will be to consider environmental, social and governance issues relevant for the Company and support it in maintaining its position as an ESG leader in the mining industry.

The Company has the lowest production costs among major global gold producers. Its principal operations are located in Siberia and the Russian Far East: Krasnoyarsk, Irkutsk and Magadan regions and the Republic of Sakha (Yakutia).
