Sub: Scheme of amalgamation amongst Tata Steel Limited and TRF Limited and their respective shareholders
This has reference to our disclosure dated February 7, 2024, intimating the decision of the Board of Directors not to proceed with the Scheme of Amalgamation amongst Tata Steel Limited ('the Company') and TRF Limited and their respective shareholders ('Scheme').
In this connection we would like to inform that the Hon'ble National Company Law Tribunal, Mumbai Bench ('NCLT'), vide its order dated February 8, 2024, has allowed the withdrawal of the Scheme. The copy of the said Order has been made available on the website of the NCLT today, i.e. February 20, 2024 and is enclosed herewith.
This disclosure is being made in terms of Regulation 30 read with Regulation 51 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, read with applicable SEBI Circulars.
