A N N O U N C E M E N T

S.N.G.N. Romgaz S.A. informs the shareholders and investors that the Annual Report for the year ended on December 31, 2023, approved by the Resolution no. 6 of the Ordinary General Meeting of Shareholders on April 25, 2024, is available starting with April 26, 2024, 8:30 AM (Romania time), as follows:

Ø in printed format - at the Company's Headquarters, Medias, 4 C.I. Motas Square, Sibiu County.

The Annual Report was prepared in accordance with Annex 15 of F.S.A. Regulation No 5/2018 on Issuers of Financial Instruments and Market Operations and is published according to art.65 of the Law no. 24/2017 (R) regarding Issuers of Financial Instrument and Market Operations, comprising:

Ø The Consolidated Board of Directors' Report for year 2023;

Ø The Independent Auditor's Report on the Audit of the consolidated financial statements;

Ø Consolidated Financial Statements for the year ended on December 31, 2023, prepared in accordance with the Order of the Ministry of Public Finance 2844/2016;

Ø Company's Management Statement on the Financial Statements of the Group for the year ended on December 31, 2023 and on the Consolidated Board of Directors' Report;

Ø The Independent Auditor's Report on the Audit of the standalone financial statements;

Ø Separate Financial Statements for the year ended on December 31, 2023, prepared in accordance with the Order of the Ministry of Public Finance 2844/2016;

Ø Company's Management Statement on the Financial Statements of the Company for the year ended on December 31, 2023 and on the Board of Directors' Report.

The Annual Report is submitted to Bucharest Stock Exchange, Financial Supervisory Authority and London Stock Exchange.

Also, the Consolidated and Individual Financial Statements, prepared according to the reporting requirements in the European Single Electronic Format (ESEF), are submitted for publication to Bucharest Stock Exchange, Financial Supervisory Authority and Financial Conduct Authority, made available on their dedicated platforms.

Publication of the 2023 Annual Report will not be followed by a conference call.
