External Appointment
Costain confirms that, as announced by Chemring Group PLC (Chemring), on 10 November 2025. Fiona MacAulay, a Non-Executive Director of Costain, Chair of the Remuneration Committee and member of the Audit and Risk Committee and Nomination Committee, did not seek re-election at the Chemring AGM on 20 February 2026 and has therefore retired from the Board of Chemring.
Additionally, in accordance with UK Listing Rule 6.4.9R(2), Costain has been advised that following the completion of the acquisition and merger of Dowlais Group plc into Dauch Corporation (formally American Axel & Manufacturing), Fiona became an independent director of Dauch Corporation, which is listed on the London Stock Exchange and the New York Stock Exchange with effect from 3 February 2026.
