Red Rock Resources Plc, the natural resource development company focussed on gold, with developing interests in copper, cobalt and other minerals, announces that Monecor (London) Limited, trading as OvalX ("OvalX"), has raised for the Company £160,000 before expenses by placing 40,000,000 new ordinary shares of £0.0001 each in the Company ("Shares") with a high net worth investor at a price of 0.4 pence per Share (the "Placing"). The net proceeds of the Placing will be used for general working capital for the group.   

In conjunction with the Placing, the Company will grant up to 20,000,000 warrants, subject to shareholder approval, exercisable for 24 months at 0.8 pence to OvalX. A General Meeting will be convened as soon as practicable and a further announcement will be made in due course as and when the notice convening the meeting is published.

The Company has appointed OvalX, as joint broker to the Company.

Admission to Trading on AIM and Total Voting Rights

Application is being made for 40,000,000 Shares to be admitted to trading on AIM, the admission of which it is expected on or around 27 September 2022.

In accordance with the provision of the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority, the Company confirms that, following the issue of the Shares, its issued ordinary share capital will comprise 1,296,147,223 ordinary shares.

All of the ordinary shares have equal voting rights and none of the ordinary shares are held in Treasury. The total number of voting rights in the Company will therefore be 1,296,147,223. The above figure may be used by shareholders as the denominator for the calculations to determine if they are required to notify their interests in, or change to their interest in, the Company.
